TransDigm said the transaction is subject to U.S. regulatory approvals and other customary closing conditions and is expected to be financed through existing cash on hand.
Kevin Stein, president and CEO of TransDigm, said Simmonds’ “highly engineered, proprietary products with substantial aftermarket content fit well with our long-standing strategy” and that the company has established its presence across a range of defense and commercial platforms.
“We also look forward to working with and continuing to support Simmonds’ commercial and defense customers. As with all TransDigm acquisitions, we expect this acquisition to create equity value in-line with our long-term private equity-like return objectives,” added Stein.
Producing Proximity Sensors for Defense, Aerospace Platforms
Simmonds designs and manufactures fuel and proximity sensing systems and structural health monitoring platforms for defense and aerospace end markets.
The Vergennes, Vermont-based company has approximately 900 employees and is expected to record about $350 million in revenue for calendar year 2025 ending Dec. 31. Approximately 40 percent of its revenue comes from the aftermarket.
Simmonds was a Goodrich business that became part of RTX’s Collins Aerospace subsidiary.
