ServiceNow to Acquire Armis for $7.75B

Artificial intelligence platform developer ServiceNow has agreed to acquire Armis for $7.75 billion in cash to expand its security workflow offerings and drive artificial intelligence-based proactive cybersecurity across connected devices in support of government agencies, companies and critical infrastructure.

ServiceNow said Tuesday it expects the transaction to close in the second half of 2026, subject to regulatory clearances and other customary closing conditions.

Tidal Partners acted as ServiceNow’s lead financial adviser in the transaction. J.P. Morgan Securities and Barclays also served as financial advisers to ServiceNow.

How Will the ServiceNow-Armis Combination Redefine AI-Driven Cybersecurity?

Through the combination, Armis and ServiceNow will establish a unified, end-to-end security exposure and operations stack that could enable organizations to act across the tech footprint by linking threat intelligence, asset discovery and risk prioritization to automated remediation and response.

“In the agentic AI era, intelligent trust and governance that span any cloud, any asset, any AI system, and any device are non-negotiable if companies want to scale AI for the long-term,” said Amit Zavery, president, chief operating officer and chief product officer of ServiceNow. “Together with Armis, we will deliver an industry-defining strategic cybersecurity shield for real-time, end-to-end proactive protection across all technology estates.”

Through the transaction, Armis will combine its security products, dataset and other capabilities with ServiceNow’s AI Control Tower and workflows to enable security teams to stay ahead of threat actors by driving end-to-end protection for cyberphysical assets.

“AI is transforming the threat landscape faster than most organizations can adapt. Every connected asset has become a potential point of vulnerability,” said Yevgeny Dibrov, co-founder and CEO of Armis.

Dibrov added that Armis, together with ServiceNow, will provide public and private sector organizations with real-time risk visibility and scalable security protection.

What Does Armis Do?

Armis offers security products that help organizations protect their attack surface and manage their organization’s cyber risk exposure. 

The California-based company’s federal business provides Armis Centrix, a cyber exposure management platform, for the Department of War, civilian agencies and other government organizations to enable them to gain visibility and control over all connected assets to detect and manage cyber risks. It supports agencies through several government contract vehicles.

Armis previously expanded its capabilities through the acquisitions of OTORIO, CTCI and Silk Security, enhancing its cybersecurity offerings to support government agencies and private sector organizations.
