TransDigm to Acquire RF Tech Manufacturer Stellant Systems From Arlington Capital for $960M

Arlington Capital Partners has announced the sale of Stellant Systems, a manufacturer of radio frequency and microwave amplification products, to aircraft components supplier TransDigm Group for $960 million.

Arlington said Wednesday that it expects the acquisition to close in 2026.

What Is Stellant Systems?

Stellant Systems was established in 2021, following Arlington’s acquisition of L3Harris Technologies’ Electron Devices and Narda Microwave-West divisions. The company designs and manufactures vacuum electron devices, solid-state power amplifiers and related components used across defense, space, medical and industrial markets. TransDigm said roughly half of Stellant’s revenue comes from aftermarket sales, with nearly all revenue tied to proprietary offerings.

Headquartered in Torrance, California, Stellant operates four U.S. manufacturing facilities and employs about 950 people.

Mike Lisman, CEO of TransDigm, said Stellant’s “highly engineered, proprietary products generate significant aftermarket revenue and fit well with our long-standing business strategy.”

“The Company has established positions across a diverse range of both commercial and defense platforms, adding new products and services to TransDigm’s portfolio,” he added.

How Does the Deal Fit TransDigm’s Recent Acquisition Strategy?

The Stellant transaction follows a series of acquisitions to expand TransDigm’s presence in the aerospace and defense electronics market. In October, TransDigm closed a $765 million cash acquisition of RTX’s Simmonds Precision Products business, which produces proprietary fuel systems, proximity sensing platforms and structural health monitoring technologies. 

Earlier acquisitions include the $655 million purchase of Raptor Scientific in August 2024, adding aerospace and defense test and measurement products, and the $1.38 billion acquisition of Communications & Power Industries’ electron device business in June 2024.
