ASGN (NYSE: AGN), the parent organization of ECS, has acquired IndraSoft for an undisclosed sum to expand its client base.
Reston, Virginia-based IndraSoft has been delivering cyber analytics, DevSecOps, cloud, cybersecurity, digital transformation and other enterprise information technology support services to the U.S. Census Bureau, Defense Information Systems Agency and the U.S. Air Force since 2004, ASGN said Friday.
“The acquisition of IndraSoft deepens our footprint at key customers, including the U.S. Air Force, Army Intelligence, DISA, and other defense agencies,” said George Wilson, president of ECS and a 2021 Wash100 Award winner.
ASGN will integrate IndraSoft’s more than 220 consultants into ECS’ mission solutions business unit as a result of the transaction and will issue restricted stock unit awards covering about 52,000 shares to 16 IndraSoft employees as employment inducement awards.
Ted Hanson, president and CEO of ASGN, said IndraSoft’s technical capabilities, platforms and talent align with ECS’ digital modernization expertise and the company’s federal government segment.
Sullivan & Cromwell acted as legal counsel to ASGN in the transaction. Pillsbury Winthrop Shaw Pittman served as legal adviser to IndraSoft.
