Red River Expands Cyber Capabilities Through Invictus Acquisition

“Technology transformation company Red River has acquired Invictus International Consulting to expand its cybersecurity and enterprise modernization capabilities to support critical missions across the Department of War and the intelligence community.

In a joint release published Wednesday, the companies said Invictus will retain its existing leadership team and gain access to the acquirer’s federal supply chain, engineering resources, original equipment manufacturer ecosystem and delivery capabilities spanning procurement, design, integration, financial services and managed services.

Red River said the transaction strengthens its government technology systems business unit, a nontraditional government contractor focused on mission-based programs.

KippsDeSanto & Co. and Morgan, Lewis and Bockius served as Red River’s financial adviser and legal counsel, respectively, in the transaction. Baird advised Invictus on the deal’s financial aspect, while Miles & Stockbridge acted as the firm’s legal adviser.

What Does Invictus Do?

Invictus provides enterprise-level engineering, cyberthreat vulnerability assessments and mitigation strategies, infrastructure, communications modernization and operations support for national security systems.

The company serves as the lead integrator for the Defense Intelligence Agency’s modernization of the Joint Worldwide Intelligence Communications System environment. It also supports missions at U.S. Strategic Command, Marine Corps Forces Cyberspace Command, Army Intelligence and Security Command and other military and federal agencies.

As a result of the transaction, Invictus will operate as a Red River company.
