The Israel-based company said Monday it agreed to acquire the business for $157.5 million in cash, with the valuation excluding existing cash holdings and outstanding debt and subject to customary post-closing adjustments.
“Over the past several years, we have strategically expanded our capabilities and presence in the defense market. The addition of Comtech’s Satellite & Space Communications segment significantly accelerates this strategy by increasing our scale, strengthening our U.S. presence, and expanding our ability to address larger and more complex defense and space programs,” said Adi Sfadia, CEO of Gilat.
The acquisition builds on Gilat’s defense expansion efforts, including the launch of a dedicated defense division in 2025 to focus on government and military satellite communications opportunities.
What Capabilities Does the Comtech Segment Bring?
Comtech’s Satellite & Space Communications business offers satellite ground systems for geostationary, medium Earth orbit and low Earth orbit constellations, as well as troposcatter beyond-line-of-sight communications and engineering services for space and launch applications. The segment supports a wide range of defense and commercial customers, including the U.S. military, allied nations, satellite operators and energy firms.
What Are the Terms of the Deal?
The boards of directors of both Gilat and Comtech unanimously approved the transaction. The acquisition remains subject to regulatory review, including approvals from the Committee on Foreign Investment in the United States, the Federal Trade Commission and the Department of Justice under the Hart-Scott-Rodino Act, as well as other standard closing requirements. The companies expect to complete the deal by the end of 2026.
