CACI Strikes $2.6B All-Cash Deal for ARKA Group

CACI International has agreed to acquire ARKA Group from Blackstone Tactical Opportunities-managed funds for approximately $2.6 billion in cash as part of efforts to expand its space-based sensing capabilities and accelerate the delivery of actionable intelligence to warfighters.

CACI said Monday it expects the all-cash transaction to conclude in the third quarter of fiscal year 2026, subject to regulatory clearances and other customary closing conditions.

John Mengucci, president and CEO of CACI, said the transaction marks a key step in advancing the company’s space strategy.

“They bring deep experience and proven performance as a best-in-class provider of national security space and defense capabilities, which has been enhanced by Blackstone’s constructive stewardship of the business during their ownership. With a shared heritage spanning more than sixty years, CACI and ARKA address complex mission requirements and deliver future-ready solutions at the speed and scale required to expand the limits of national security,” added Mengucci, a six-time Wash100 awardee.

CACI expects to generate a tax benefit of $225 million through the transaction.

Wells Fargo and Gibson Dunn acted as CACI’s exclusive financial adviser and legal counsel, respectively, in the transaction. J.P. Morgan Securities and Evercore served as ARKA’s financial advisers, while Simpson Thacher & Bartlett advised ARKA on the deal’s legal aspects.

ARKA Group supports national security missions through its portfolio of space-based sensors and ground-based software processing support.

The Danbury, Connecticut-based company also provides information processing and analytics, communications platforms and optical technologies for U.S. and international mission partners.

What Are CACI’s Previous Strategic Acquisitions?

The latest transaction came a year after CACI completed a series of strategic acquisitions aimed at expanding its defense, intelligence and technology portfolio.

These moves included the 2024 purchase of Azure Summit Technology, which added advanced radio frequency and electronic warfare capabilities, and the acquisition of Applied Insight to strengthen cloud and enterprise IT offerings for national security customers.
