Fairfax, Virginia-based ERPi is a health care consulting firm that provides IT platforms, artificial intelligence, machine learning, data analytics and health care support to the Department of Veterans Affairs, National Institutes of Health and other government agencies, ASGN said Monday.
Established in 2001, ERPi supports post-COVID-19 care models, electronic health record modernization and other federal health care transformation initiatives.
ASGN will integrate ERPi’s team of 250 consultants into ECS’ enterprise solutions business unit and will grant restricted stock unit awards covering about 29,000 shares to 14 ERPi employees as employment inducement awards as a result of the transaction.
George Wilson, president of ECS and a 2021 Wash100 Award winner, said the acquisition deepens the company’s capabilities in various technology areas and provides access to major government contract vehicles.
Sullivan & Cromwell acted as legal counsel to ASGN in the transaction. KippsDeSanto & Co. served as financial adviser to ERPi, while Venable and PilieroMazza advised the company on the deal’s legal aspects.
