Fabless semiconductor company Mobix Labs announced Friday that it has entered into a definitive agreement to acquire Vision Aerial, a Montana-based manufacturer of unmanned aerial systems built to comply with National Defense Authorization Act supply-chain requirements.
The agreement builds on a letter of intent disclosed earlier and moves Mobix Labs closer to closing a deal that would position the company in the unmanned aerial systems and aerial intelligence sector, an area the company has identified as central to its National Security Matters Initiative.
What Are the Terms of the Deal?
Mobix Labs plans to pay approximately $15 million in cash and company stock. The transaction is expected to close during the current quarter, pending standard closing conditions and shareholder approval. Vision Aerial’s leadership team and Montana manufacturing operations are expected to remain in place after the deal closes, with the company folded into Mobix Labs’ growing autonomous systems business.
Why Is Mobix Labs Making This Move?
Mobix Labs sees the acquisition as a way to pair Vision Aerial’s airframes with its own radio-frequency, sensing, connectivity and defense-electronics lines, forming what it describes as a combined aerial intelligence offering rather than a standalone hardware business. The company also pointed to federal buyers’ growing preference for domestically manufactured drone platforms.
