- Maximus has targeted a first-quarter fiscal 2027 closing for the deal
- The agreement allows for added payments tied to performance goals
- Agile Defense’s innovation arm, Agile Labs, is part of the transaction
Maximus has agreed to acquire Agile Defense, a provider of cybersecurity, data analytics and artificial intelligence services, for $660 million in cash to expand its presence in the defense and national security markets.
Maximus said Monday the purchase price is subject to certain adjustments and that the agreement includes potential contingent consideration if Agile Defense meets specific performance objectives.
The deal requires regulatory approvals and customary closing conditions, and the company expects to complete it in the first quarter of its fiscal year 2027.
What Does the Acquisition Bring to Maximus?
The transaction gives Maximus access to Agile Defense’s capabilities in digital transformation, cybersecurity, data analytics and AI, along with its approved systems, contract vehicles and existing relationships with defense and national security customers. Agile Defense also adds approximately 1,100 cleared personnel and an established presence in the intelligence community.
Maximus will also gain Agile Labs, Agile Defense’s innovation unit, which focuses on applied research and development, emerging technologies and specialized talent.
According to Maximus, the combination positions the company to pursue technology-intensive federal missions by drawing on its delivery experience in FedRAMP, Cybersecurity Maturity Model Certification and rapid-experimentation environments.
What Is Agile Defense?
Agile Defense is a McLean, Virginia-based government services company that supports more than 50 federal agencies with secure technology solutions. Founded in 1998, the company works with defense and national security customers to turn AI-enabled technologies into operational capabilities for warfighters and mission programs.
Backed by Enlightenment Capital, the company designs its digital transformation work around end users and does not tie its solutions to a single cloud provider, allowing it to adjust quickly as customer requirements change.
In April, Agile Defense won a potential five-year, $118 million contract to support digital modernization efforts at U.S. Citizenship and Immigration Services. IntelliWare Systems, an Agile Defense company, secured a $145 million contract in June to provide intelligence analysis support to the FBI’s Threat Screening Center.
The company landed a $100 million other transaction authority agreement in July to deliver its Workforce AI platform in support of North American Aerospace Defense Command and U.S. Northern Command.
