Veritas Capital to Acquire Steampunk, Merge It With MetroStar

Veritas Capital’s Vantage Fund has agreed to acquire Steampunk and will merge the company with its portfolio company MetroStar Systems once the deal closes, forming a combined government contracting entity focused on mission-driven transformation, Veritas said Tuesday.

What Will the Merger Combine?

The merger will pair MetroStar’s artificial intelligence and digital transformation product expertise with Steampunk‘s user-centered delivery approach, known as Design Intelligence.

The transaction follows Veritas’ continued deployment of capital through its Vantage strategy, which earlier this year agreed to acquire MetroStar, an AI-enabled digital transformation provider serving defense and national security customers. The firm closed Fund IX and related vehicles at $15.3 billion in February, a 40 percent increase over its predecessor fund.

Hugh Evans, managing partner at Veritas, said the combination will create a force multiplier for delivering mission-critical capabilities at scale and give agency partners AI-enabled tools to move faster and meet mission demands.

Matt Warren, CEO of Steampunk, said the deal pairs MetroStar’s technical strength with a values-driven culture and a shared focus on transformation and mission outcomes. MetroStar co-founder and CEO Ali Reza Manouchehri said the combined companies will operate at a larger scale and deliver greater outcomes for customers.

When Is the Deal Expected to Close?

The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions.

Baird served as Steampunk’s exclusive financial adviser, while Holland & Knight provided legal counsel. Latham & Watkins served as legal counsel to MetroStar and Veritas.
