What Is TENICA?

Established in 2008, TENICA is a Chantilly, Virginia-based company focused on providing national security, defense, cybersecurity and IT platforms and services for DOW, intelligence agencies and other federal government customers. The company’s mission-critical capabilities include IT engineering and architecture, cyber defense, digital modernization, cloud and enterprise IT, mission resilience, program management, and acquisition support.

TENICA will continue to operate under its existing leadership team, while McNally will serve as TENICA’s strategic partner to advance long-term growth objectives.

What Did TENICA & McNally Officials Say About the Partnership?

Nicholas Scherling, president and CEO of TENICA, said the company built its reputation over nearly two decades by addressing national security challenges through technical excellence and trusted partnerships. Scherling noted that partnering with McNally will give TENICA the resources to keep growing while preserving the mission, culture and client focus that define the company.

“Together, we will be able to deliver even greater strategic advisory services, custom digital engineering software, and operational execution that are needed to advance American national security, while creating new opportunities for our people,” added Scherling.

Ward McNally, co-CEO and managing partner of McNally Capital, said TENICA reflects the type of business the firm seeks out for its long-standing client relationships, differentiated engineering capabilities and highly cleared workforce.

“As demand continues to grow for advanced space, cyber, and digital modernization capabilities across the U.S. government, we believe TENICA is exceptionally well positioned to support those priorities. We are eager to partner with TENICA leadership to build on that strong foundation, expand the Company’s capabilities, pursue growth opportunities, and continue delivering exceptional outcomes for its government clients,” McNally added.

How Does the Investment Align With McNally’s National Security Strategy?

The investment adds a provider of intelligence, cyber and space mission support with longstanding intelligence community relationships to McNally’s national security portfolio. TENICA’s systems engineering and mission operations capabilities give the company a base for continued organic growth, and the deal reflects McNally’s approach of building businesses that serve evolving defense and intelligence priorities while pursuing long-term, sustainable growth.

McNally previously invested in Quiet Professionals in 2025 before that company merged with Spathe Systems and relaunched this year under a new identity, Endurion, as part of a similar effort to scale intelligence, operations and mission technology support for Special Operations Forces and national security missions.

Who Advised on the Transaction?

Ropes & Gray served as McNally Capital’s legal counsel, while Venable served as the private investment firm’s government contracting counsel.

The McLean Group and PilieroMazza acted as TENICA’s financial adviser and legal counsel, respectively, in the transaction.
