Mobix Labs to Acquire Spacecraft Components

Mobix Labs has agreed to buy Spacecraft Components as part of a strategic move to expand its presence in the aerospace, defense and transportation markets.

Irvine, California-based Mobix Labs said Monday it expects the acquisition to close in the first quarter of 2025, subject to final due diligence and approval by both entities’ boards of directors.

“This acquisition is transformative for Mobix Labs, aligning with our strategy to diversify our markets and strengthen our position in mission-critical industries,” said Mobix Labs CEO Fabian Battaglia.

Battaglia added that combining the company’s innovation and expertise with Spacecraft Components’ product offerings and reputation will drive growth opportunities for both parties.

Delivering Electrical Connectors to Defense & Aerospace Markets

Founded in 1962, Spacecraft Components manufactures and distributes electrical connectors for military, aerospace, transportation and industrial sectors.

The Nevada-based company’s electrical components and accessories are key to mission-critical missile technology, naval ships, submarines, oil rigs, railcars, and military and commercial aircraft. It supplies components used in the U.S. Army’s primary missile defense system — Patriot Missile — and tactical autonomous and manned vehicles.

Transaction Details

The acquisition includes a purchase price between $18 million and $24 million, with consideration to be paid through a combination of cash and equity, subject to earnout provisions.

Mobix Labs said it expects the transaction to be accretive to its earnings and materially boost its fiscal year 2025 revenue.

About 150 employees, primarily based in Nevada, are anticipated to join the connectivity technology provider’s workforce upon the deal’s closing.
