EverWatch to Be Acquired by Booz Allen; CEO John Hillen Quoted

Booz Allen Hamilton has entered into a definitive agreement to acquire EverWatch, a leading provider of advanced solutions for defense and intelligence customers, the company announced on Wednesday. 

The terms of the acquisition haven’t been disclosed. EverWatch will operate as a wholly owned subsidiary of Booz Allen once the acquisition officially closes during the latter’s first quarter of its fiscal year 2023.

“Booz Allen and EverWatch share a deep commitment to protecting our national interests with advanced technology, mission intimacy, and digital transformation,” said John Hillen, CEO with EverWatch and a previous Wash100 Award winner. “We look forward to the combined strength of our organizations to deliver exceptional support to clients in the intelligence community and beyond.”

Through the acquisition, EverWatch‘s deep artificial intelligence capabilities and cybersecurity portfolio are utilized to build and operate mission-critical classified platforms to defend against national cyber threats. Booz Allen will be able to accelerate the delivery of classified software development and analytics capabilities for national security clients.

In addition, the acquisition will also help Booz Allen accelerate its national security growth aligned with VoLT strategy as well as enable faster digital and cyber transformation for federal agencies in the intelligence community to focus on the latest mission-critical classified programs. 

For the transaction, EverWatch retained Baird as financial adviser, who has been at the forefront of M&A activity in the government contracting (GovCon) and the federal landscape following a record shattering 2021 where the company closed 21 transactions totaling more than $7.5 billion in aggregate value.

With its role in the latest acquisition of EverWatch for Booz Allen, Baird continues to drive the biggest deals and M&A transactions through the leadership of Jean Stack, managing director for Baird and a 2022 Wash100 Award winner as well as John Song, also serving as a managing director for Baird who received a 2021 Wash100 Award

Booz Allen’s deep mission insights and portfolio of full-spectrum cyber operations, mission analytics and other capabilities such as AI, 5G and more align well with EverWatch history of legacy service for national security agencies and core capabilities in software development and architecture, cloud, and TechSIGINT.
