GeoEye Schedules Shareholder Vote on DigitalGlobe Merger

GeoEye (NASDAQ: GEOY) shareholders will meet in a special session Dec. 3 to vote on the company’s proposed merger with DigitalGlobe (NYSE: DGI).

In a release, GeoEye said the meeting will take place at 11 a.m. at its Herndon, Va. headquarters.

Shareholders of record as of the close of business Oct. 29 will receive notice of the meeting and hold the right to vote at the special meeting.

The boards of directors at both companies approved the $900 million transaction in July, where DigitalGlobe’s shareholders will own 64 percent and GeoEye’s shareholders owning 36 percent in a combined firm.

The companies expect the transaction to close in either the fourth quarter of 2012 or the first quarter of 2013.
