L-3 Prices Senior Note Offering

L-3 Communications (NYSE: LLL) “has priced an offering of $800 million of 4.75% Senior Notes due July 15, 2020. The notes are being offered in a registered offering pursuant to Rule 415 under the Securities Act of 1933, as amended (the “Securities Act”).”

According to L-3, the firm “intends to use the net proceeds from the offering, together with cash on hand, to redeem the company’s $800 million aggregate principal amount of 6⅛% Senior Subordinated Notes due 2013 and 2014.”

Also, “the notes will be unsecured senior obligations of the company and will rank equally with all of its other unsecured senior indebtedness. The notes are being offered pursuant to the company’s existing shelf registration statement, which became automatically effective upon filing with the Securities and Exchange Commission. A preliminary prospectus supplement and accompanying prospectus describing the terms of the offering has been filed with the Securities and Exchange Commission. Banc of America Securities LLC, Barclays Capital Inc., Deutsche Bank Securities Inc., Credit Agricole Securities (USA) Inc. and Wells Fargo Securities, LLC are acting as joint book-running managers for this offering.
