Neustar to Buy TNS Caller Authentication Assets for $173M; Lisa Hook Comments

Neustar (NYSE: NSR) has signed an agreement to acquire the caller authentication assets of Siris Capital Group affiliate Transaction Network Services for $220 million in cash, minus an estimated $47 million in tax benefits.

Neustar said Wednesday it expects to close the transaction in its fourth fiscal quarter and to support the company’s market position on call authentication services across tbroadband, wireless and mobile platforms.

Neustar projects the acquired assets to help generate $60 million in fiscal 2016 revenue.

“The fundamental shift to mobile has forever changed how businesses and consumers engage, resulting in a need for creative solutions that enhance engagement in a way that must be neutral, trusted, and platform-agnostic, ” said Lisa Hook, president and CEO of Neustar.

The company added that it also aims to bolster its portfolio with database management, data storage, caller identification and verification offerings through the acquisition.
