Former Bechtel Vice Chair Paul Unruh Among 4 New URS Directors; Martin Koffel Comments

URS logoV. Paul Unruh, formerly vice chairman of Bechtel Group, has joined the board of directors of URS Corp. (NYSE: URS) as one of four new independent directors, effective March 27.

Martin Koffel, chairman and CEO of URS, said Monday the company will nominate Unruh, Diane Creel, William Schumann III and David Siegel for election to the board of directors at URS’ annual meeting on May 29.

The company’s eight incumbent directors will also be recommended to the board under an agreement with JANA Partners LLC, which holds nearly 9.4 percent of URS’ common shares outstanding.

Unruh retired as vice chairman of Bechtel in June 2003 after holding management positions at the company for 25 years.

The certified public accountant also served as president of Bechtel Enterprises from 1997 to 2001.

Unruh is a member of the board of directors of Symantec, real estate media and technology provider Move and consulting services firm Heidrick & Struggles International Inc.

Two of the new directors will be appointed to a four-member value creation committee, which will be formed under the agreement between URS and JANA.

Additionally, two of the new directors will join the CEO succession committee that will work to find a successor to URS’ current chief executive.
